ESOP Trustee Transaction Experience
The following is a representation of our recent ESOP Trustee Transaction Experience:

Multiple redemptions of common stock from non-ESOP shareholders, eventually resulting in S Corp ESOP owning 100% interest in the company – value of transactions was approximately $2,000,000.

Acquisition by ESOP of additional 10% of common stock held by majority owner – value of transaction was approximately $500,000.

Proposed acquisition of ESOP and majority owner shares by private equity firm (transaction was not consummated as private equity firm was unable to obtain sufficient financing) – value of transaction would have been approximately $8,400,000.

Acquisition of majority owner shares by ESOP, which resulted in ESOP owning 100% interest in the company – value of transaction was approximately $8,600,000.

Redemption by Plan sponsor (Company) of all of the outstanding shares held by the ESOP – value of transaction was approximately $6,000,000.
